These Terms of Service describe the use of the Varnell Lens website and the arrangements for photo processing and image preparation. Read them alongside any written quote or project agreement accepted for your work.
01. Who these terms cover
Varnell Lens provides remote photo processing and image preparation services. Its business address is 3140 PARISA DR, PADUCAH, KY 42003, United States. References to “we,” “us” and “our” mean Varnell Lens. “You” means the website visitor or the client arranging services. A person arranging work for an organization must have authority to approve the project and provide its materials.
These terms apply to this website and, when incorporated into a project agreement, to the agreed services. A specific written agreement may supplement these terms. If it expressly changes a project term, that agreed change controls for that project. Mandatory legal rights remain unaffected.
02. The services offered
The available services are Product Image Preparation, Background & Composition Refinement, Catalog Image Standardization and Batch Photo Processing. They concern photographs supplied by clients: framing, cropping, proportions, background treatment, consistent image formats, resizing, format conversion and final set organization.
New photography, physical studio bookings, product shipping, publishing to a marketplace, website administration and printing are not included in these listed services. More extensive retouching, layered files, additional exports or other tasks require an express written scope. The photographic artwork used for website design is decorative and does not itself represent a completed client project.
03. Website use and project requests
You may use the website to learn about the services and prepare a project request. The current project form validates the entered fields and displays an on-screen confirmation in your browser. It does not transmit the entered details or upload source photographs. To arrange an actual project, contact projects@varnelllens.com and agree the next steps with Varnell Lens.
An on-screen confirmation is not acceptance of an order, a booking, a quotation or a commitment to begin paid work. No payment is collected by this form. A project becomes accepted only when its scope, price, delivery arrangements and relevant payment terms have been confirmed in writing by both sides.
04. Source review and the written scope
Before accepting production work, we review representative source files and your requirements. The written quote should identify the image count, applicable service, editing treatment, target dimensions, orientation, background requirements, file formats, naming rules and delivery structure. It should also state any sample stage, included revisions, schedule and payment arrangements.
The assessment is based on the materials available at that stage. Additional images, a new creative direction, extra output versions or source defects that materially change the work may require an updated quote. We will seek agreement to a material scope or price change before carrying out the additional work.
05. Prices and payment
All website prices are in United States dollars and are starting rates. Product Image Preparation starts at $18 per image with a $180 minimum project. Background & Composition Refinement starts at $22 per image with a $220 minimum project. Catalog Image Standardization starts at $650 for one collection of up to 50 images. Batch Photo Processing starts at $480 for one technical batch of up to 100 images.
Starting packages assume one agreed specification and the stated type of work. Batch processing does not include individual advanced retouching unless quoted. Taxes, if applicable, and any separately agreed fees will be identified in the quote or invoice. The written project quote controls the actual amount due. Payment methods, deposit requirements and due dates are agreed for each project; there is no subscription or recurring charge unless separately agreed in writing.
You should not send payment card numbers, banking credentials or security codes through ordinary project correspondence. If a payment provider is used for an agreed project, use the payment instructions supplied for that transaction. We do not request access to your bank account to process photographs.
06. Your materials and instructions
You are responsible for providing usable source files, accurate instructions and the references needed to identify the intended products. Keep a separate copy of the original photographs. Do not submit the only existing copy of an important image. Tell us about any product details, labels, colors or proportions that must be preserved.
You confirm that you own the materials or have permission to provide them and authorize the requested processing. This includes relevant copyright, trademark, privacy, model and property permissions. Supplying a photograph does not give us permission to use it publicly for promotion; any such permission must be obtained separately.
07. Technical and visual limitations
The quality of a finished image depends partly on the source. Severe blur, missing detail, heavy compression, low resolution, clipped highlights or obscured areas may limit the result. Enlarging a file does not guarantee that genuine detail can be recovered. Where a requirement cannot reasonably be met from the available material, we may recommend a replacement source or adjust the agreed scope with you.
Displays, browsers, color profiles, compression settings and print workflows can affect appearance. Unless specifically agreed, the service does not include physical print color matching or certification against a marketplace rule. We aim to meet the agreed file specification; we do not guarantee sales results, rankings, advertising performance or acceptance by a third-party platform.
08. Sample approval and changes of direction
Where the quote includes a sample, it is intended to confirm the treatment before the remainder of a collection is processed. Review it against the agreed brief and provide clear, consolidated feedback. Approval establishes the production direction for the rest of the set, subject to differences in the source photographs.
A change to the approved treatment may require additional work, a revised delivery date or a new price. A correction needed because our output does not match the agreed treatment is handled as a correction, rather than automatically treated as a new creative request.
09. Delivery schedules
A delivery date is confirmed in the written quote. The schedule depends on receiving the complete usable files, final instructions, any required payment and timely feedback. Stated estimates are not a promise that every project can be completed by the same deadline. We will discuss a requested urgent deadline before accepting it.
If missing material or delayed feedback affects production, we will explain the impact and propose an updated schedule. If we become aware of a material delay on our side, we will notify you and discuss a reasonable resolution. A delivery time is a binding essential deadline only where the written agreement says so or applicable law requires it.
10. Review, revisions and corrections
The quote states the review period and any included revision allowance. Provide feedback in a form that identifies the affected file and the requested correction. Keep feedback aligned with the accepted brief so that the set can be reviewed consistently.
If no review period is stated, please report apparent specification errors within 10 business days after delivery so they can be addressed promptly. That administrative period does not remove rights that the law gives you. Additional images, replacement sources, new background treatments or new output specifications may be charged as additional work after agreement.
11. Cancellation and refunds
You may request cancellation through projects@varnelllens.com. If production has not begun, amounts paid for unperformed services will be refunded, subject only to a separately disclosed and accepted non-refundable third-party cost that is legally permissible. We do not impose an undisclosed cancellation fee.
If production has begun, the cancellation settlement will reflect the work already completed and unavoidable project costs expressly authorized by you. Any paid balance for work not performed will be refunded. We will explain the calculation rather than automatically retaining an entire deposit. If we cancel and cannot complete the agreed work, we will refund the amount paid for the unperformed portion.
If delivered work materially fails to meet the agreed specification, contact us with the relevant files and details. We will consider correction, re-performance or an appropriate refund according to the circumstances and applicable law. A change of preference after approval is distinct from a failure to provide the agreed service. Any statutory cancellation, refund or remedy rights take priority over these provisions.
12. Consumer cancellation rights
Some laws give consumers a cancellation period for services arranged remotely. If such a right applies, we will not treat these terms as a waiver. An early start during a statutory cancellation period requires the consent or request required by the applicable law. Loss of a cancellation right after full performance requires any acknowledgments the law calls for.
Business clients and consumers may have different legal rights. Your location, the type of transaction and the applicable rules determine those rights. Nothing in this document prevents a consumer from exercising a right that cannot lawfully be excluded.
13. Ownership and use of deliverables
You retain the rights you hold in the original photographs and other client materials. You authorize us to use those materials only as reasonably needed to perform, review and deliver the agreed services and to meet relevant legal obligations. Processing a photograph does not transfer your underlying copyright to us.
Once the agreed fees are paid, you may use the final deliverables for the commercial or personal purposes set out in the project scope, subject to the rights in the source material. Where we create transferable project-specific rights in a deliverable, they pass to you on full payment unless the written quote expressly provides otherwise. Our general methods, reusable tools and pre-existing materials remain ours. Working documents and layered source files are delivered only if included in the quote.
14. Confidentiality and handling of files
Project materials that are not public will be used for the agreed work and handled with reasonable care. Access may be given to personnel or service providers who need it to perform the project, subject to appropriate confidentiality arrangements. We will not place client photographs on this website or in marketing without separate permission.
The transfer method and any special confidentiality or deletion requirements should be agreed before files are supplied. Unless the project agreement states otherwise, working image files are scheduled for deletion 90 days after final delivery. Administrative and financial records may be retained as required for business or legal purposes. The service is not a permanent archive, and you remain responsible for maintaining your own copies.
15. Acceptable use
Do not submit materials or instructions that infringe another person’s rights, are unlawful or deceptive, contain malware, or seek to falsify evidence. We may decline work that cannot be performed lawfully or that would misrepresent a product in a materially deceptive way. We do not provide the alteration of identity documents or financial records for verification purposes.
Do not interfere with the website, attempt unauthorized access or use automated methods that place an unreasonable load on the service. You may refer to the website to evaluate services; copying the site’s design, branding or content for unrelated commercial use requires permission where protected by law.
16. Responsibility and legal limits
Each party is responsible for its own obligations under the accepted project agreement. We will exercise reasonable care and skill in the agreed processing. Neither a general website description nor decorative website imagery creates a guarantee beyond the accepted specification.
To the extent legally permitted for a business-to-business project, our total liability for that project is limited to the fees paid or payable for the services giving rise to the claim, and neither party is liable for indirect or consequential loss merely because it was foreseeable. These limitations do not apply where the law prohibits them, including any liability that cannot be excluded for fraud, intentional wrongdoing, gross negligence or applicable statutory consumer protections.
17. Complaints and resolution
Send a service concern to projects@varnelllens.com with the project reference, affected files and a description of the problem. We will review it and seek a practical resolution. Do not include bank login details or unrelated sensitive documents in a complaint.
These terms are governed by the laws of Kentucky, United States, except where a consumer is entitled to mandatory protection under another applicable law. Subject to those protections, courts with appropriate jurisdiction in Kentucky may hear disputes. These terms do not require arbitration, prevent a lawful small-claims action or restrict the submission of an honest review.
18. Changes, availability and contact
We may update these website terms to reflect changes to services or website operation. The revised document will show an updated date. An update does not retroactively change an already accepted project unless the parties agree or the law requires it. If part of these terms is unenforceable, the remaining provisions continue to apply to the extent permitted by law.
